DEFINITIONS

“Site” refers to the web site of the “OffersAroundUs” services available at https://offersaroundus.com ;

“Service/s” refers to any / all of the features offered by the Site.

“User” refers to any person, visiting, using or in any other way interacting with the Site or its respectful Materials regardless of the activities taken.

“We/Us/Our” refers to Site or Offers Around Us Private Limited

“Materials” refers to all images, text, audio and video data or any other information located on the Site. Materials also refer to images, text, audio and video data or any other information located on any other place provided that there is information that said material originated from the Site.

These Terms govern the use of Site, access to Materials and usage of Services. Terms apply to all Users regardless of the way, purpose or instruments used in accessing Site or Materials. By accessing Site you agree to be bound by these Terms, applicable laws, and internet policies. If you do not agree with the Terms you are forbidden to use Site. Subject to your compliance with these Terms, We grant you a limited non-exclusive, non-transferable, non-sublicenseable license to use the Site. Except as expressly permitted in these Terms, you may not: copy, modify or create derivative works based on the Site; distribute, transfer, sublicense, lease, lend or rent the Site to any third party; reverse engineer or disassemble the Site; or make the functionality of the Site available to multiple users through any means.

We can periodically update and/or change the Terms without notifying the Users. The current version of Terms is available on the Site indicating the effective date. Users are encouraged to periodically review Terms in order to stay informed on any changes. Users are bound by any changes to the Terms regardless of their knowledge about them, provided that changes were published and available for review.

AGE OF CONSENT

By engaging with Site you are confirming that you are at least 12 years old. If you are younger than 12 you may not use Site in any capacity. If the Law in your country of residence prescribes older age as a minimum limit for safe browsing and independent registration of personal information, you are confirming that you are at least at the age of prescribed limit. If you do not fulfill the requirement of minimum age, and you wish to use Our Services, you are required to provide written parental consent prior to using Site, Materials or Services.

SERVICES

Site is a free online advertising portal / platform for businesses. Accordingly, it is also an interactive, location based, business search platform for Users. A community chat facility (Chats Around) is also provided in the Site for interactions between Users and Businesses. Apart from this, a Whatsapp Chat feature is also integrated (in selected countries) for Users to interact with a business if that business has enabled the Whatsapp feature.

In order to provide Services to the Users, the Site requires access to User’s information. User will be providing the information to the Site depending on, one or more of the following purposes of User’s usage of the Site:

• If User is a visitor and intends to just search for a business or browse the Site, then he/she is not required to furnish any personal information, however Site will be required to access user’s geo-location to present him/her the offers based on user’s search or usage of the Site. For this purpose Site is using IP address based APIs to identify user’s location even if the user disallows sharing his / her geo-location to the Site.
• If the User would want to Advertise his / her business or use Chats Around feature of the site or Rate & Review a business or add Comments to a business, or Like or Share a business, or Report / Flag a business, then User needs to Login. User can login through either his/her Gmail or Facebook account or through User’s email ID or mobile number.
• If the User would want to Rate & Review a business; or make Comments (or ask any query) to a business; or Like or Share a business; or Report / Flag a business; or make comments in “Chats Around” then he would be adding appropriate remarks from his side, all of which must meet the Terms of the Site.
• A Whatsapp chat feature is also provided to the User through which the User can contact a business Owner. The remarks made by the Users in Whatsapp chat must meet the Terms of the Site.
• If the User wants to advertise his/her business online, then he may need to further provide following information:

User’s Name; User’s Business Name; User’s business location; User’s Business address; User’s Business Website; User’s Business Contact number; User’s image / business logo; User’s business information (like Business Name; Business Images; Business Advertising video; Business advertising text, Business Categories,  Business Opening and Closing time, User’s business social media link etc.)

User must be agreeing to the Privacy Policy while providing all (but not limited to) the above information to the Site.

By using Our Services you agree that the information you provide to the Site will be current, complete and accurate. We are not responsible for any consequence which may result from providing information contrary to these Terms. Site’s usage of provided information is governed by these Terms, Our Privacy Policy and applicable laws of the Republic of India.

Users are forbidden to misuse Services. A misuse constitutes any usage, access or interference with the Site contrary to Terms, Privacy Policy and applicable laws and regulations.

The Material created by a User shall not be objectionable (in terms of copyright, trade secret, proprietary right, adult content, unlawful, racially or ethnically offensive, hateful, threatening, harassing, virus, harmful computer code etc.). We shall not be responsible for the consequences of posting or publishing such Material.

We may suspend or stop providing a User with Service should We find or suspect that Services are being misused.

Using Our Services does not give you ownership of any Material which is either available in the Site, provided to the Site or resulted from your usage of the Site. Users grant Us, a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of and display the created content in connection with Services and/or Site’s business, including without limitation, for promoting and redistributing part or all of the Services in any media formats and through any media channels.

Materials resulted from the usage of Services can be shared with anyone through any media capable of transferring multimedia/image files. We are not responsible for any unwanted delivery of such content.

Site acts as a repository of Materials. Any Material resulted from the usage of Services does not necessarily represent Our views or opinion. We do not provide any warranty as to the accuracy of Materials, their content, or legal status.

We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error- free basis.

We can, in its sole discretion, suspend or terminate access to the Services to any User, without prior notice or need to deliberate on reasons for such measure. We reserve the right to deny Services to anyone at any time.

User will be held personally liable for any violation of the Terms. User agrees to reimburse us for all damages resulting from the culpable non-observance of the obligations of these Terms. Users release ss from all eligible claims that other Users or third parties may file against us due to a violation of their rights by content posted by the user or due to a violation of other obligations. User shall assume the costs of our legal defense, including all court and legal fees. This condition does not apply if the users are not responsible for the infringement.

PRIVACY

Please review Our Privacy Policy to learn more about how we collect and use information about User via the Service. By using the Service you consent to the transfer of your information to the Republic of India and/or other countries for storage, processing and use by us.

GOVERNING LAWS

Any claim relating to the Site shall be governed by the laws of the Republic of India without regard to its conflict of law provisions. The collection, usage and storage of information is in accordance with the laws of the Republic of India. The User agrees to the jurisdiction of the Karnataka High court in Bengaluru, India, for the resolution of any conflict with the Site.

INDEMNITY

You will indemnify and hold harmless Site and its developers, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with your access to or use of the Services or Materials, content which you provide, or your violation of these Terms.

WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY: THE MATERIALS IN THE SITE AND ANY SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED " AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. NONE OF THE PARTIES INVOLVED IN CREATING, PRODUCING, AND/OR DELIVERING THE SITE ARE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES, OR ANY OTHER LOSSES, COSTS, OR EXPENSES OF ANY KIND WHICH MAY ARISE, DIRECTLY OR INDIRECTLY, THROUGH ACCESS TO, USE OF, OR BROWSING OF THE SITE OR MATERIALS FROM THE SITE, INCLUDING BUT NOT LIMITED TO ANYTHING CAUSED BY BUGS, VIRUSES, OR ANY COMPUTER SYSTEM, HARDWARE, SOFTWARE, OR PROGRAM MALFUNCTIONS, OR ANY OTHER ERRORS, FAILURES, OR DELAYS. IN NO EVENT WILL SITE OR ANY OF OUR SERVICE PROVIDERS BE LIABLE FOR ANY LOST PROFITS, COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR OF THE INABILITY TO USE ANY MATERIALS IN THE SITE.
